This web page represents our Terms of Use and Sale (“Agreement”) regarding our website, oxfordspecialisttutors.com (“Website”) and our tutoring and developmental support services for neurodiverse children and adults (“Services”). Our services are provided by highly-trained and carefully-vetted specialists (“Specialists”).

These terms of service were last updated on July 1, 2021. The terms, “we” and “our” as used in this Agreement refer to Oxford Specialist Tutors LLC (“Oxford Specialist Tutors”).

“You” and “your” as used in this Agreement refers to the person who purchases our services, and in the case that you purchase services for a child, to you, other parents/guardians, caregivers and family members who will participate in the services we provide, whether those services are provided in person, by video conference, voice calls, email, Whatsapp or any other means of communication.

We may amend this Agreement at any time by posting the amended terms on our Website. We may or may not post notices on the homepage of our Website when such changes occur.

We refer to this Agreement, our Privacy Policy, and any other terms, rules, or guidelines on our Website collectively as our “Legal Terms.” You explicitly and implicitly agree to be bound by our Legal Terms each time you access our Website or use our Services. If you do not wish to be so bound, please do not use or access our Website and do not use our Services.

Confidentiality of Services

This Services relationship, as well as all information (documented or verbal) that you share with your Specialist as part of this relationship will be kept confidential. The Specialist agrees not to disclose any information pertaining to you without your written consent. The Specialist will not disclose your name as a reference without your consent.

However, please be aware that your relationship with your Specialist is not considered a legally confidential relationship (like the medical and legal professions) and thus communications are not subject to the protection of any legally recognized privilege. Regardless, Oxford Specialist Tutors and our Specialists are serious about privacy and confidentiality.

Our Specialists may share information with other people in our Specialists team (Specialists, Specialist managers and Specialist trainers) for training, supervision, mentoring, evaluation, and for Specialist professional development and/or consultation purposes.

Confidential Information does not include information that: (a) was in the Specialist’s possession prior to its being furnished by you; (b) is generally known to the public; (c) is obtained by the Specialist from a third party, without breach of any obligation with you; (d) the Specialist is required by statute, lawfully issued subpoena, or by court order to disclose; (e) is disclosed to the Specialist and as a result of such disclosure the Specialist reasonably believes there to be an imminent or likely risk of danger or harm to the you or others; and (f) involves illegal activity. You also acknowledge your continuing obligation to raise any confidentiality questions or concerns with the Specialist in a timely manner.

Refunds for Study Skills Tutoring

We generally ask for payment in advance of rendering Services.

If you are paying on a session-by-session basis, and are unhappy with any specific session, you can request a refund, which we will process promptly.

If you have paid in advance for a package of Services, and are unhappy with the services we have provided to date, we will issue a refund for the last Services session and the unused portion of the Services you have paid for in advance.

If we believe, at our sole discretion, that the Service provided by our Specialist was lacking, we will work with you to fix the problem, at no additional charge to you. This may include providing you with a different Specialist to work with.

If you are unsatisfied with our services in a prepaid package, we may also offer, at our sole discretion, a full refund for an entire prepaid package rather than a prorated refund. Please be aware that our Services are a collaborative process which requires both our Specialist’s input and your participation. We will only consider offering a full refund rather than a prorated refund if we believe that you have been participating in the process in good faith.

If we believe, at our sole discretion, that you are not participating in our Services in a way that will produce the results you seek, we may opt to cease to provide our Services to you. In this case, we will give you a prorated refund for any services paid for but not yet used.

Services

Our services are provided by highly-trained and carefully-vetted specialists (“Specialists”).

Providing our Services is a collaborative process between you and your Specialist. Your Specialist may give you advice, suggestions and recommendations but these should never be interpreted as instructions. You are solely responsible for your own physical, mental and emotional well-being; your decisions, choices, actions. Your results from our Services depend on the actions you take and as such the Specialist cannot guarantee improvements. You agree that Oxford Specialist Tutors and the Specialist are not and will not be liable or responsible for any of your actions or inaction, or for any direct or indirect result of any services provided by the Specialist.

You acknowledge that our Services are a comprehensive process that may involve different areas of your life. Our Services are provided as information-only, and what you choose to do with that information is your own responsibility and liability. By using Services, you assume full liability for any actions you may or may not take as a result of the advice and information given by your Specialist, whether those results be deemed positive or negative.

You acknowledge that our Services do not involve the diagnosis or treatment of mental disorders as defined by the American Psychiatric Association or other similar bodies in other jurisdictions, and our Services are not to be used as a substitute for psychotherapy, psychoanalysis, mental health care, substance abuse treatment, or other professional advice by legal, medical or other qualified professionals and that it is your exclusive responsibility to seek such independent professional guidance as needed. If you are currently under the care of a mental health professional, it is recommended that you promptly inform the mental health care provider of the nature and extent of the Services relationship agreed upon between you and your Specialist.

Limited License

Oxford Specialist Tutors grants you a non-exclusive, non-transferable, revocable license to access and use our Website, purchase Services, receive Services from our Specialists, and other features of our website, strictly in accordance with our Legal Terms.

Copyrights and Trademarks

Unless otherwise noted, all materials including without limitation, logos, brand names, images, designs, photographs, video clips and written and other materials that appear as part of our Website are copyrights, trademarks, service marks, trade dress and/or other intellectual property whether registered or unregistered (“Intellectual Property”) owned, controlled or licensed by Oxford Specialist Tutors. Our Website as a whole is protected by copyright and trade dress. Nothing on our Website should be construed as granting, by implication, estoppel or otherwise, any license or right to use any Intellectual Property displayed or used on our Website, without the prior written permission of the Intellectual Property owner. Oxford Specialist Tutors aggressively enforces its intellectual property rights to the fullest extent of the law. The names and logos of Oxford Specialist Tutors, may not be used in any way, pertaining to distribution of materials on our Website, without prior, written permission from Oxford Specialist Tutors. Fair use of Oxford Specialist Tutors’s Intellectual Property requires proper acknowledgment. Other product and company names mentioned in our Website may be the Intellectual Property of their respective owners.

However, Oxford Specialist Tutors cannot guarantee that our employees, Specialistes, agents, or other representatives act in accordance with this policy, and if you are displeased by any communications with Oxford Specialist Tutors, please report your concerns to us and refer to our refund policy for your rights to refund. By using our website and/or services you forfeit your rights to take legal action against Oxford Specialist Tutors or our associates, employees, agents, owners, or other representatives for these types of discrimination.

Limited Liability for Services

Except as expressly provided in this Agreement, Oxford Specialist Tutors and your Specialist make no guarantees, representations or warranties of any kind or nature, express or implied with respect to the Services services negotiated, agreed upon and rendered. In no event shall Oxford Specialist Tutors or Specialist be liable to you for any indirect, consequential or special damages. Notwithstanding any damages that you may incur, Oxford Specialist Tutors’ and the Specialist’s entire liability under this Agreement, and your exclusive remedy, shall be limited to the amount actually paid by you to Oxford Specialist Tutors under this Agreement for all Services services rendered through and including the termination date.

No Warranties; Exclusion of Liability; Indemnification

OUR WEBSITE IS OPERATED BY Oxford Specialist Tutors ON AN “AS IS,” “AS AVAILABLE” BASIS, WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND. Oxford Specialist Tutors MAKES NO REPRESENTATION THAT CONTENT PROVIDED ON OUR WEBSITE, CONTRACTS, OR RELATED SERVICES ARE APPLICABLE OR APPROPRIATE FOR USE IN ALL JURISDICTIONS.

Indemnification

You agree to defend, indemnify and hold Oxford Specialist Tutors harmless from and against any and all claims, damages, costs and expenses, including attorneys’ fees, arising from or related to your use of our Website or Services you purchase with Oxford Specialist Tutors.
